These terms govern your use of dragonlab.us and any purchase you make from Dragon Labs LLC. Please read them before ordering.
1. Who we are
This website is operated by Dragon Labs LLC ("Dragon Labs", "we", "us", "our"), a limited liability company registered in the State of Arizona, United States, with its principal place of business at 7537 East McDonald Drive, Scottsdale, AZ 85250. You can reach us at support@dragonlab.us.
"You" means the person or organisation browsing this website or placing an order. "Goods" means the products we supply to you. "Website" means dragonlab.us and its subdomains.
2. Acceptance of these terms
By browsing the website, placing an order or accepting delivery of Goods, you agree to these terms and to our Privacy Policy, Returns & Refunds Policy and Shipping Policy, each of which forms part of this agreement. If you do not agree with them, please do not use the website or place an order.
These terms apply to the exclusion of any terms you may seek to impose, including terms printed on a purchase order, unless we have agreed otherwise in a document signed by us.
3. Who may buy from us
To place an order you confirm that:
- you are at least 18 years old and legally able to enter into a binding contract;
- you are buying for business, research, educational, industrial or professional purposes, and not as a consumer purchase for personal, family or household use;
- the shipping address you supply is within the United States;
- the payment method you use belongs to you or you are authorised to use it.
Our Goods are laboratory and industrial instruments intended for use by people competent to operate them. They are not toys and they are not medical devices.
4. Products and specifications
We describe our Goods as accurately as we can, using the manufacturer's published specifications. Photographs are illustrative — a product photograph may show a configuration, pump head or accessory other than the one you order, and colours may vary between screens.
Performance figures such as flow range, speed and accuracy are the manufacturer's specifications measured under their stated test conditions. Actual performance in your application depends on factors outside our control including fluid viscosity, tubing condition, head height and duty cycle. Nothing on the website is a guarantee that a particular instrument will achieve a particular result in your process.
Where you tell us your application and we recommend a configuration, that recommendation is given in good faith as technical opinion. It remains your responsibility to satisfy yourself that the Goods are suitable for your intended use.
We may improve or change a product's design, firmware or components where the change does not materially reduce its specification.
5. Orders and acceptance
Your order is an offer to buy. No contract exists until we accept that offer, which we do when we dispatch the Goods, not when payment is authorised and not when the website shows an order confirmation.
We may decline or cancel an order, in whole or in part, if:
- the Goods are out of stock or have been discontinued;
- a price or specification was published in error;
- we cannot verify the payment or delivery details you supplied;
- the order appears fraudulent, or is for resale in a way we have not agreed;
- supplying you would breach an export control, sanction or other legal restriction.
If we cancel before dispatch, we will tell you and reverse any charge in full. That is the limit of our liability for a declined order.
6. Prices, tax and currency
All prices are in United States dollars (USD) and exclude sales tax unless stated otherwise. Where sales tax applies it is calculated and shown during checkout before you confirm payment.
Prices may change at any time, but a change will not affect an order we have already accepted. Configurations shown as "request a quote" are not available for online purchase; any figure we give you in a quotation is valid for 30 days unless the quotation says otherwise.
Obvious pricing errors — for example an instrument listed at a small fraction of its normal price — are not binding on us. If we spot one after you have ordered we will contact you to confirm whether you wish to proceed at the correct price or cancel for a full reversal of the charge.
7. Payment
Payment is taken in full at the time of order. Card payments are processed by Stripe, Inc. on Stripe's own hosted checkout page. We never receive, handle or store your full card number, expiry date or security code. Your use of Stripe's checkout is also subject to Stripe's own terms and privacy notice.
We can invoice against a purchase order for institutional buyers by prior arrangement. Contact us before ordering if you need that; invoiced accounts are subject to a separate credit agreement and net terms we agree in writing.
If a payment is reversed, charged back or otherwise fails after Goods have shipped, the full amount plus any fees we incur becomes immediately payable, and title in the Goods does not pass to you until we are paid in full.
8. Shipping, title and risk
We ship to addresses within the United States only. Dispatch, transit times and carrier arrangements are set out in our Shipping Policy. Delivery dates given anywhere on this website are estimates and are not contractual commitments.
Risk in the Goods passes to you on delivery to the address you gave us. Title passes to you when we have received payment in full and cleared funds. You must inspect the Goods on arrival and tell us about visible transit damage within 7 days.
It is your responsibility to give us a complete, correct address at which someone can accept a freight delivery. Costs arising from an incorrect address, a refused delivery or an unclaimed parcel are yours.
9. Returns, refunds and cancellation
All sales are final and we do not offer refunds. Our full Returns & Refunds Policy sets out the narrow exceptions for Goods that arrive damaged, defective or incorrect, where our remedy is repair, replacement or reshipment rather than a refund.
By completing checkout you acknowledge that you have read and accepted that policy.
10. Warranty
Goods are warranted for 12 months from delivery against defects in materials and workmanship, on the terms and with the exclusions set out in the Returns & Refunds Policy. Our sole obligation under that warranty is to repair or replace the affected Goods.
To the fullest extent permitted by law, and except for that express warranty, the Goods are supplied without any other warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
11. Safe and lawful use of equipment
You are responsible for how the Goods are installed and used. In particular you agree:
- to read and follow the manufacturer's manual, including electrical supply, grounding and chemical-compatibility requirements;
- to ensure the wetted parts and tubing you select are compatible with your fluid;
- to have the equipment operated only by suitably trained personnel using appropriate personal protective equipment;
- not to use the Goods for any diagnostic, therapeutic or other medical purpose, or in any application where a failure could reasonably be expected to cause death, personal injury or severe environmental damage, unless we have agreed that use in writing;
- to comply with all laws applicable to your process, including those governing the handling and discharge of the substances you pump.
12. Export and end-use
Goods supplied by us may be subject to United States export control laws. You agree not to export, re-export or transfer the Goods in breach of those laws, and not to supply them to any party or for any end use prohibited under them. You confirm that you are not a person or entity subject to United States sanctions or a denied-party listing.
13. Intellectual property
The Dragon Labs name and logo, and the text, layout, photography and code of this website, are owned by us or licensed to us. You may view and print pages for your own internal purchasing purposes. You may not copy, republish, scrape or reuse our content commercially, or use our branding, without our written permission.
Manufacturer names, model numbers and trademarks are used descriptively to identify the Goods and remain the property of their respective owners.
14. Acceptable use of this website
You agree not to:
- interfere with, probe or attempt to gain unauthorised access to the website, its server or any account on it;
- submit false, misleading or fraudulent order or contact information;
- use automated tools to place orders, harvest prices or extract content at scale;
- transmit malware, or use the website in a way that impairs it for other users;
- use our contact form to send unsolicited commercial messages.
We may suspend or withdraw access to the website, or refuse future orders, if you breach this section. The website is provided on an "as available" basis and we do not warrant that it will be uninterrupted or free of errors.
15. Limitation of liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.
Subject to that:
- we are not liable for any indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, contracts, data, samples, experimental results, production time or goodwill, however caused;
- our total aggregate liability arising out of or in connection with any order, whether in contract, tort (including negligence), under statute or otherwise, is limited to the amount you paid us for the Goods giving rise to the claim;
- we are not liable for loss arising from your failure to follow the manufacturer's instructions, your selection of an unsuitable configuration or consumable, or your use of the Goods outside their published specification.
Because our Goods may form part of processes whose value greatly exceeds the price of the equipment, this allocation of risk is a fundamental basis of the price we charge. If it is not acceptable to you, please do not order.
16. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your use of the Goods in breach of section 11 or 12, or from your breach of these terms.
17. Events outside our control
We are not liable for delay or failure to perform caused by an event beyond our reasonable control, including carrier failure, manufacturer or component shortage, industrial action, severe weather, flood, fire, epidemic, war, civil unrest, cyber-attack, or an act of government. Where such an event delays an order we will tell you and, if the delay becomes unreasonable, either of us may cancel the affected order for a full reversal of any charge.
18. Privacy
We handle personal information as described in our Privacy Policy, which explains what we collect, why, who we share it with and how long we keep it.
19. Changes to these terms
We may update these terms from time to time. The version published on this page when you place an order is the version that applies to that order, so please review it each time you buy. Material changes take effect when published here.
20. Governing law and disputes
These terms and any dispute arising from them are governed by the laws of the State of Arizona, United States, without regard to its conflict of laws rules. You and we submit to the exclusive jurisdiction of the state and federal courts sitting in Maricopa County, Arizona.
Before starting proceedings, please contact us at support@dragonlab.us. Most disputes turn out to be misunderstandings we can settle in a few emails.
21. General
- Entire agreement. These terms, together with the policies they reference and your order confirmation, are the whole agreement between us.
- Severability. If a provision is found unenforceable, the rest continues in force.
- No waiver. Our delay in enforcing a term is not a waiver of it.
- Assignment. You may not assign your order without our consent; we may assign our rights to a successor of our business.
- No third-party rights. These terms do not give rights to anyone other than you and us.
- Notices. Notices to us should go to support@dragonlab.us; notices to you go to the email address on your order.
